Contracting Entity

The Estella Rose brand and website are owned and operated by Estella Rose LLC, a Utah limited liability company doing business as “Estella Rose.” All references in these Terms and on this website to “Estella Rose,” “we,” “us,” or “our” mean Estella Rose LLC as the sole contracting party. No individual owner, member, manager, officer, employee, contractor, artisan, or representative of Estella Rose LLC is a party to these Terms in a personal capacity.

Acceptance of Terms

By accessing and using the Estella Rose website, you accept and agree to be bound by these Terms of Service. If you do not agree, please do not use our website.

Products

All jewelry sold by Estella Rose features laboratory-grown diamonds. Product descriptions, images, and specifications are as accurate as possible, but may vary slightly due to the unique nature of each piece.

Pricing

All prices are listed in US Dollars (USD). We reserve the right to change prices at any time without notice. Prices at the time of purchase will be honored for that transaction.

Orders

We reserve the right to refuse or cancel any order for any reason, including product availability, errors in pricing or product information, or suspected fraudulent activity.

All content on this website — including text, images, logos, and designs — is the property of Estella Rose and is protected by copyright and trademark laws. Unauthorized use is prohibited.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ESTELLA ROSE LLC'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS WEBSITE, ANY PRODUCT, OR THESE TERMS — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY — SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE USER TO ESTELLA ROSE LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL ESTELLA ROSE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, GOODWILL, BUSINESS INTERRUPTION, OR EMOTIONAL DISTRESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

No Personal Liability of Owners, Members, or Personnel

The user acknowledges that Estella Rose LLC is a limited liability company and that its existence as a separate legal entity is a material inducement to providing this website and the products and services offered through it. The user's sole recourse for any claim, demand, loss, or damage arising from or related to this website, any product, these Terms, or any communication, act, or omission of Estella Rose is against Estella Rose LLC itself and its assets. No current or former owner, member, manager, officer, director, employee, independent contractor, artisan, production partner, affiliate, shareholder, agent, representative, consultant, founder, or principal of Estella Rose LLC (collectively, “Protected Persons”) shall have any personal or individual liability of any kind under or in connection with this website, any product, or these Terms. The user, on behalf of the user and the user's heirs, successors, and assigns, irrevocably waives, releases, and covenants not to sue any Protected Person in that Protected Person's individual or personal capacity. The user further agrees not to seek to pierce the corporate or LLC veil, to hold any Protected Person liable as an alter ego of Estella Rose LLC, or to otherwise circumvent the limited-liability protections afforded by Utah Code Title 48. Each Protected Person is an intended third-party beneficiary of this section and may enforce it directly. This section survives termination or rescission of these Terms.

Governing Law; Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws principles. Any dispute arising from or related to these Terms or the website shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in the State of Utah. The user waives any right to a jury trial and agrees that any dispute must be brought in the user's individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
